1. Introduction and Acceptance

These Terms and Conditions (“Terms”) govern your access to and use of the HoopReel platform, available at hoopreel.io and any associated domains (collectively, the “Platform”), operated by HoopReel (“we”, “us”, or “our”).

By accessing or using any part of the Platform, whether as a visitor to the free public library, a Club Administrator, or a Coach user, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

Where HoopReel is used by a club, academy, or organisation (“Club”), the individual who registers the Club account represents and warrants that they have authority to bind the Club to these Terms on its behalf.

2. Definitions

• “Platform” means the HoopReel website, application, and all associated services.
• “Global Library” means the free, publicly accessible basketball coaching content aggregated and curated by HoopReel, available without registration.
• “Club Workspace” means a private, password-protected environment created for a Club, accessible only to authorised users of that Club.
• “Club Administrator” or “Club Admin” means the individual (typically a head coach or club director) who registers and manages a Club Workspace, including managing seat allocations and curating content for their club.
• “Coach” means an individual user added to a Club Workspace by a Club Administrator.
• “Visitor” means any person who accesses the Global Library without creating an account.
• “Subscription” means a paid plan (Basic, Standard, or Pro) that grants a Club access to a Club Workspace.
• “Embedded Content” means audiovisual content, including videos and podcasts, sourced from third-party platforms such as YouTube and TikTok and displayed on the Platform via those platforms' official embed mechanisms, without being downloaded, stored, or re-hosted by HoopReel.
• “Club Content” means any materials (including documents, links, session plans, or files) uploaded or added to a Club Workspace by a Club Administrator or Coach.
• “Subscription Fee” means the monthly or annual fee payable by a Club for its chosen Subscription plan.

3. Description of the Platform

3.1 Global Library

The Global Library is a free, publicly accessible collection of curated basketball coaching content. It requires no account or registration. Content in the Global Library consists primarily of Embedded Content sourced from third-party platforms, curated and organised by HoopReel. Access to the Global Library is provided on an “as is” basis and may be withdrawn, modified, or restricted at any time without notice.

3.2 Club Workspaces

Club Workspaces are private environments available to Clubs under a paid Subscription. A Club Workspace allows the Club Administrator to:

• Access HoopReel's curated content library relevant to their Subscription tier
• Import seed content from HoopReel's library (subject to tier limits)
• Add external links, resources, and (on Pro plans) upload files
• Organise content into playlists and assign them to Coaches
• Manage multiple sub-group workspaces (subject to tier limits)
• Access analytics on Coach engagement (subject to tier)

The features available within a Club Workspace depend on the active Subscription plan. HoopReel reserves the right to modify, add, or remove features with reasonable notice to Club Administrators.

4. Account Registration and Club Administration

4.1 Club Administrator

To create a Club Workspace, a Club Administrator must register an account, providing accurate and complete information. The Club Administrator is responsible for:

• Maintaining the confidentiality and security of their account credentials
• All activity that occurs under the Club Workspace, including the conduct of all Coach accounts they create
• Ensuring that all Coaches added to the Workspace are authorised users of the Club
• Keeping their contact and billing information up to date
• Complying with these Terms and ensuring their Coaches do the same

4.2 Coach Accounts

Club Administrators may invite Coaches to the Club Workspace up to the seat limit of their Subscription plan. Each Coach account is associated with the Club's Subscription, and these Terms apply in full to each Coach. The Club Administrator accepts responsibility for Coach conduct within the Workspace.

4.3 Eligibility

You must be at least 18 years old to create an account. By registering, you represent that you meet this requirement. The Platform is not directed at children under 16, and we do not knowingly collect data from children under 16.

4.4 Account Security

You must notify us immediately at contact@hoopreel.io if you become aware of any unauthorised access to or use of your account. HoopReel is not liable for any loss resulting from unauthorised use of your account where you have failed to take reasonable steps to secure it.

5. Subscriptions, Fees and Payment

5.1 Subscription Plans

HoopReel offers the following Subscription plans for Club Workspaces:

Additional seats beyond the plan limit may be added at €12 per seat per month on the Standard plan and €15 per seat per month on the Pro plan. HoopReel reserves the right to update pricing with 30 days' written notice to Club Administrators. Price changes will not affect the current billing period.

5.2 Payment

Subscriptions are billed in advance on a monthly or annual basis, depending on the option selected at registration. Payment is processed by a third-party payment provider (currently Stripe). By providing payment details, you authorise HoopReel to charge the applicable Subscription Fee on each renewal date. You are responsible for ensuring your payment method remains valid. HoopReel reserves the right to suspend access to the Club Workspace if payment fails, following reasonable notice.

5.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date in accordance with Section 5.4.

5.4 Cancellation

Club Administrators may cancel their Subscription at any time through their account settings or by contacting us at contact@hoopreel.io. Cancellation takes effect at the end of the current billing period. Access to the Club Workspace continues until that date.

Annual Subscriptions may be cancelled at any time, but access continues until the end of the annual period and no pro-rata refund is issued for the unused portion, except where required by applicable law.

5.5 Refunds

We offer a 30-day free trial for new Club Workspaces. If you cancel within the trial period, you will not be charged. Outside the trial period, Subscription Fees are non-refundable except where required by applicable consumer protection law, or where the Platform has been materially unavailable for an extended period due to our fault.

5.6 Taxes

Subscription Fees are exclusive of VAT and any other applicable taxes. Where VAT applies, it will be added to the Subscription Fee at the applicable rate. If you are a VAT-registered business within the EU, you may provide your VAT number for reverse charge purposes.

6. Content

6.1 HoopReel Curated Content

HoopReel curates and organises content for inclusion in the Global Library and Club Workspaces. This curation represents our editorial judgement regarding quality and relevance. We do not produce, own, or control the underlying third-party content we curate unless otherwise stated.

6.2 Embedded Third-Party Content

A significant portion of the content available on the Platform consists of videos and other media embedded from third-party platforms, including YouTube and TikTok, using those platforms' official embed mechanisms. You acknowledge and agree that:

(a) Embedded Content is hosted on and served from the relevant third-party platform (e.g., YouTube, TikTok), not by HoopReel. HoopReel does not download, copy, store, or re-host Embedded Content.

(b) Embedded Content is subject to the terms and conditions of the platform on which it is hosted. Your interaction with Embedded Content may be subject to YouTube's Terms of Service (youtube.com/t/terms), TikTok's Terms of Service (tiktok.com/legal/terms-of-service), and those platforms' privacy policies.

(c) HoopReel does not own or control Embedded Content and makes no representations about its accuracy, completeness, legality, or continued availability. Embedded Content may be removed, restricted, or made unavailable by the original platform or content creator at any time, without notice to HoopReel or to you. HoopReel shall not be liable for the removal or unavailability of any Embedded Content.

(d) HoopReel's value to you lies in the curation, organisation, and accessibility of content — not in the underlying content itself, which remains freely available on the originating platforms.

(e) You must not circumvent, download, or capture Embedded Content in any manner that violates the terms of the originating platform or applicable copyright law.

6.3 Club Content

Club Administrators and Coaches may add content to their Club Workspace, including external links, documents, session plans, and (on Pro plans) uploaded files (“Club Content”). By adding Club Content to the Platform, you represent and warrant that:

(a) You own or have all necessary rights, licences, and permissions to add and share that content within your Club Workspace.

(b) The Club Content does not infringe any third-party intellectual property rights, privacy rights, or any applicable law.

(c) The Club Content does not contain unlawful, harmful, defamatory, or inappropriate material.

HoopReel does not review Club Content and takes no responsibility for it. You grant HoopReel a limited, non-exclusive licence to host and display Club Content solely for the purpose of providing the Club Workspace service to you.

6.4 Content Availability

HoopReel does not guarantee the continuous availability of any specific piece of content, including Embedded Content or curated links. Content may become unavailable due to actions by third-party platforms, content creators, or for technical reasons. HoopReel will endeavour to maintain a high-quality and current content library but makes no guarantee as to the volume, composition, or availability of any particular content at any time.

7. Intellectual Property

7.1 HoopReel IP

The Platform, including its design, layout, software, curation methodology, branding, and all original content created by HoopReel, is owned by or licensed to HoopReel and protected by applicable intellectual property law. Nothing in these Terms transfers any intellectual property rights in HoopReel's materials to you.

7.2 Licence to Use the Platform

Subject to your compliance with these Terms and payment of applicable Subscription Fees, HoopReel grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal coaching and team development purposes. This licence does not permit you to:

• Copy, reproduce, or redistribute any HoopReel original content
• Scrape, crawl, or systematically extract data from the Platform
• Reverse-engineer or attempt to extract the source code of any part of the Platform
• Use the Platform to develop a competing product or service
• Share access credentials with individuals outside your authorised seat allocation

7.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Platform, you grant HoopReel a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without compensation or attribution to you.

8. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable law or regulation
• Infringe any intellectual property or other rights of any third party
• Upload, share, or transmit content that is unlawful, defamatory, obscene, harmful, or discriminatory
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorised access to any part of the Platform or another user's account
• Transmit malware, viruses, or any harmful or disruptive code
• Use the Platform for any commercial purpose other than the internal coaching and team development purpose for which it is provided
• Resell, sublicense, or white-label access to the Platform without HoopReel's prior written consent
• Interfere with the proper functioning of the Platform

HoopReel reserves the right to suspend or terminate access to any user or Club Workspace that violates this section, without refund, where the violation is serious or repeated.

9. Data Protection and Privacy

9.1 General

HoopReel processes personal data in accordance with the EU General Data Protection Regulation (GDPR) (Regulation 2016/679) and applicable Irish data protection law. Our Privacy Policy, which forms part of these Terms, explains what personal data we collect, how we use it, and your rights in relation to it.

9.2 Data Processing Roles

For the purposes of GDPR: (a) in relation to the Global Library and HoopReel's own operations, HoopReel acts as the data controller for personal data it collects from Visitors and account holders; and (b) in relation to personal data that Club Administrators add to or manage within a Club Workspace (such as Coach names and email addresses), HoopReel acts as a data processor on behalf of the Club, which acts as the data controller. The Club is responsible for ensuring it has a lawful basis for sharing that personal data with HoopReel and for complying with its obligations to those individuals under GDPR.

9.3 Data Processing Agreement

Where HoopReel processes personal data on behalf of a Club as data processor, the data processing terms set out in our Data Processing Agreement apply and form part of the agreement between HoopReel and the Club. Club Administrators are deemed to have accepted these terms upon registration.

9.4 Embedded Content and Third-Party Data

Please be aware that third-party platforms whose content is embedded on the Platform (such as YouTube and TikTok) may collect personal data about users when that content is loaded, in accordance with their own privacy policies. HoopReel is not responsible for data collected by third-party platforms.

10. Third-Party Services and Links

The Platform may contain links to or integrate with third-party websites and services. These are provided for convenience only. HoopReel does not control, endorse, or take responsibility for the content, privacy practices, or terms of any third-party service. Your use of any third-party service is at your own risk and subject to that service's own terms.

11. Disclaimers

11.1 “As Is” Provision

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, HoopReel disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.2 No Coaching or Professional Advice

Content available on the Platform, including Embedded Content and curated materials, is provided for informational and educational purposes only. Nothing on the Platform constitutes professional sports science, medical, or coaching advice. You should exercise your own professional judgement in applying any content to your coaching practice.

11.3 Content Accuracy and Availability

HoopReel makes no representation that Embedded Content or curated content is accurate, complete, up to date, or free from error. Content may be withdrawn without notice. See Section 6.4.

11.4 Service Availability

HoopReel does not guarantee that the Platform will be available at all times or free from errors or interruptions. We will endeavour to provide reasonable uptime but planned and unplanned maintenance may occur.

12. Limitation of Liability

To the fullest extent permitted by applicable law, HoopReel's total aggregate liability to any user or Club — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total Subscription Fees paid by that Club in the 12 months immediately preceding the event giving rise to the claim, or €100, whichever is greater.

HoopReel shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunity
• The unavailability, removal, or inaccuracy of any Embedded Content or third-party content
• Any damage caused by third-party platforms or services
• Any loss arising from unauthorised access to your account where you failed to take reasonable security measures

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable Irish or EU law.

13. Indemnification

You agree to indemnify, defend, and hold harmless HoopReel and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform in breach of these Terms; (b) your Club Content; or (c) your violation of any applicable law or third-party rights.

14. Termination

14.1 Termination by You

Club Administrators may terminate their Subscription at any time in accordance with Section 5.4. Visitors and Coaches may stop using the Platform at any time.

14.2 Termination by HoopReel

HoopReel may suspend or terminate access to any account or Club Workspace immediately and without refund where:

• There is a serious or repeated breach of these Terms
• We reasonably suspect fraudulent or unlawful use of the Platform
• Continued provision of the service would expose HoopReel to legal or regulatory risk
• The Club fails to pay applicable Subscription Fees after reasonable notice

HoopReel may also discontinue the Platform or any feature with 30 days' written notice to Club Administrators, with a pro-rata refund for any remaining prepaid period.

14.3 Effect of Termination

On termination, your right to access the Platform ceases. Club Administrators are responsible for exporting or downloading any Club Content they wish to retain before termination. HoopReel may delete Club Content 30 days after termination of the relevant Workspace, unless required by law to retain it longer.

15. Modifications to These Terms and the Platform

HoopReel may update these Terms from time to time. For material changes, we will provide at least 30 days' notice to Club Administrators by email or via a notice within the Platform. Continued use of the Platform after the effective date of any change constitutes acceptance of the updated Terms.

HoopReel may also modify, update, or discontinue any feature or aspect of the Platform at any time. We will provide reasonable notice of material changes to features that affect paid Subscriptions.

16. Governing Law and Disputes

These Terms and any dispute arising from or in connection with them shall be governed by and construed in accordance with the laws of Ireland, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that cannot be resolved through good-faith discussion shall be subject to the exclusive jurisdiction of the courts of Ireland.

If you are a consumer in another EU member state, you may also be entitled to bring proceedings in the courts of your country of residence. Nothing in these Terms affects your rights as a consumer under applicable mandatory EU law.

17. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and (where applicable) the Data Processing Agreement, constitute the entire agreement between you and HoopReel in relation to the Platform and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

No Waiver. Failure by HoopReel to enforce any right under these Terms does not constitute a waiver of that right.

Assignment. HoopReel may assign or transfer its rights and obligations under these Terms to a successor entity in connection with a merger, acquisition, or sale of assets, provided the successor assumes all of HoopReel's obligations under these Terms. You may not assign your rights without our prior written consent.

Force Majeure. HoopReel shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, internet or infrastructure failures, or actions of third-party platforms.

Language. These Terms are written in English. If translated into another language, the English version shall prevail in the event of any conflict.
